Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of Roast, the feedback collection service available at roastnow.com (the "Service"), operated by Precode Limited, a company registered in England and Wales (company number 09189974) with its registered office at Vantage Point, New England Street, Brighton, BN1 4GW ("Precode", "we", "us"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal data.
2. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity by teammates you invite. You must provide accurate information and keep it up to date. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
3. Plans, trials and payment
Paid plans start with a 14 day free trial and are then billed in advance on a recurring basis through Stripe, our payment provider. Fees are non-refundable except where required by law. You can cancel at any time and your plan will remain active until the end of the current billing period. We may change pricing with reasonable notice; changes will not affect the current billing period.
4. Acceptable use
You agree not to misuse the Service, including by attempting to access it in an unauthorised way, disrupting its operation, uploading unlawful or infringing content, recording anyone without their knowledge and consent, or using it to harass others. We may suspend or terminate accounts that breach these Terms.
5. Content and feedback
You retain ownership of the feedback and content you and your users submit through Roast. You grant us a limited licence to host, process and display that content solely to provide the Service, including transcribing and analysing submissions using AI (as described in our Privacy Policy). You are responsible for having the rights and consents needed for any content you collect and publish, including publishing testimonials only where the author has given consent to public display. If a testimonial author withdraws consent, you must remove the testimonial promptly.
6. Bounties and payouts
Roast lets workspace owners offer cash bounties to reward critical feedback ("roasts"). Bounties work as follows:
- Critical feedback only. Bounties may only reward honest, critical feedback. Roast never pays, and you must never offer payment, for praise, testimonials, ratings or positive reviews. Incentivised positive reviews are unlawful under the UK Digital Markets, Competition and Consumers Act 2024 and equivalent laws elsewhere.
- Funding and escrow. Owners fund bounties in advance. Funds are held in an escrow ledger and released only when a payout is approved and claimed.
- Owner approval.Payouts are made at the workspace owner's discretion. Submitting feedback to a bounty does not guarantee payment; owners may approve or reject a submission based on its quality and their bounty rules (such as per-reviewer and total payout limits).
- Claiming and Stripe Connect.Approved reviewers receive a personal claim link by email and must complete Stripe Connect onboarding, including Stripe's identity verification (KYC), before funds can be transferred. Payouts are made by Stripe to the reviewer's connected account; we never handle bank details directly.
- Claim expiry.Claims expire if onboarding is not completed within the bounty's claim window (7 days by default, unless the owner sets a different window). Expired claims are cancelled and the held funds are returned to the owner's bounty pool.
- Taxes. Reviewers are responsible for any taxes due on bounty payments they receive.
7. Availability and changes
We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend or discontinue features at any time. We will give reasonable notice of material changes where practicable.
8. Liability
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, and our liability for any claim arising from your use of the Service is limited to the amount you paid us in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
9. Termination
You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms, including the bounty rules in section 6. On termination, your right to use the Service ceases immediately; any unspent bounty funds will be handled in accordance with section 6 and applicable law.
10. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, except where the law of your country of residence gives you additional mandatory rights or a different forum.
